Terms of Service

Thanks for using BrainyMonkey. These Terms of Service ("Terms") govern your access to and use of brainymonkey.io and our related products and services (together, the "Services"). By creating an account or otherwise using the Services, you agree to these Terms. If you don't agree, please don't use the Services.

1. Your account

BrainyMonkey is operated by Liad Karadi, based in Petah Tikva, Israel (contact: hello@brainymonkey.io).

You need an account to use most of the Services. You're responsible for what happens under your account, for keeping your credentials secure, and for the accuracy of the information you provide us. You must be at least 18 years old and capable of forming a binding contract.

2. The Services

BrainyMonkey helps you produce short-form video by combining your input (topics, channel configuration, edits) with machine-generated drafts, narration, b-roll, and captions, and by publishing approved videos to social-media platforms you have explicitly connected. We'll update and improve the Services over time. Some features may be added, modified, or removed.

3. Your content

You retain all rights to the content you create using the Services. That includes the topics you bring, the scripts as you've edited them, the videos as you've assembled them, and any media you upload.

You grant BrainyMonkey a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, to format for the platforms you've chosen), and transmit your content, solely to provide the Services to you. The license ends when you delete the content or close your account, except where retention is required by law.

You represent that you have the rights necessary to use any third-party content you upload or reference.

4. Acceptable use

When you use the Services, you agree to follow our Acceptable Use Policy, which describes what kinds of activity are not allowed. Material breaches may lead to suspension or termination.

5. Connected platforms

The Services let you connect third-party platforms (such as TikTok and YouTube) so you can publish to them directly. When you connect a platform, you authorize BrainyMonkey to act on your behalf for the limited purposes you've approved. Your use of those platforms remains subject to their own terms and policies. We are not responsible for changes those platforms make to their APIs or rules.

We may decline to take any action through a connected platform that we reasonably believe would violate that platform's terms or content policies, or that the platform requires us to refuse. We may also revoke or pause integrations as needed to remain in good standing with our platform partners.

6. AI-generated material

The Services use AI models to draft scripts, synthesize voice, transcribe audio, and surface suggestions. AI output can be inaccurate, biased, or incomplete. You're responsible for reviewing what the Services produce before you publish it. Where required by an applicable platform's content policy, the Services apply the appropriate AI-content disclosure on your behalf at the time of publish.

Content published through the Services must also comply with the content policies of the destination platform. You are responsible for ensuring this. We may decline to process or publish content that we reasonably believe does not comply with a destination platform's policies or with our Acceptable Use Policy.

7. Fees

Some features may be offered free of charge, others on a paid basis. We'll show you the price and billing terms before you commit. We may change pricing for future billing periods with at least 30 days' notice to active subscribers.

8. Termination

You can stop using the Services at any time and delete your account from your settings or by emailing us. We may suspend or terminate your access if you breach these Terms, if we're required to do so by law, or if continued operation would create undue risk to other users or to us. We'll give you reasonable notice where we can.

9. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Services will be uninterrupted, error-free, or that any specific result will be achieved through use of the Services.

10. Limitation of liability

To the maximum extent permitted by law, neither BrainyMonkey nor its officers, employees, or agents will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Services. Our aggregate liability for any direct damages will not exceed the greater of the amount you paid us in the twelve months preceding the claim or US$100.

11. Indemnification

You agree to indemnify and hold BrainyMonkey harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your breach of these Terms.

12. Changes

We may revise these Terms from time to time. If we make changes that we consider material, we'll let you know — by email, an in-product notice, or both — at least 14 days before they take effect. Continued use of the Services after a change takes effect means you accept the new Terms.

13. Governing law

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the competent courts of Tel Aviv-Jaffa, Israel, and you consent to personal jurisdiction there.

14. Miscellaneous

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and BrainyMonkey regarding the Services. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
